1. Purpose

These General Terms and Conditions of Sale (TCS) stipulate
the framework for purchasing tickets to events hosted by the Organizer at Panama
Blockchain Week. 

Here after «the «Event» will describe any
event organised by the Organiser and subject to those TCS. These TCS apply to
any participation of an individual (here after «The Attendee» or
“You” or “your”) as a participant in this event. The agreement is between The
Organiser (here after “The Organiser” or “us” or “we”) and the person who
completes the relevant Event online registration form (“you” or “your” or “the
attendee” or “the attendees”). These
Terms govern your online registration, attendance at and/or participation at an
Event. 

By completing the
registration, The Attendee consents to these TCS, which include adherence to
the Organizer’s privacy policy detailing data handling practices. Acceptance of
this offer is finalized when The Attendee completes the registration and pays the
ticket price in full. If you are registering on behalf of another person, it is
your obligation to make sure that the person attending is aware of these Terms
and accepts them.

The offer is open
to all until the Event’s conclusion and can be reviewed on the Organizer’s
website. 

These Terms apply
to you from the date of publishing and until these Terms are superseded by a
new version. The Organiser reserves the right to modify these TCS at any time,
it being understood that the version of the TCS applicable in case of a claim
or litigation will be the one effective at the date of purchase of the entry
ticket if applicable the date of publication otherwise.

2. Description
of the organiser

KRONWEL
INVESTMENT CORPORATION is the organiser of the Panama Blockchain Week (PBW or the
«Organiser») with a public website www.panamablockchainweek.com

3. Purchase of tickets on the event website

To join PBW events, attendees are required to secure their
tickets through the Event’s online «Tickets» area. They are allowed
to request the number of tickets available per the platform’s limit and ticket
classification. Attendees commit to remunerate the Organizer with the ticket’s
designated price corresponding to its category upon order confirmation on the
site. Following a successful purchase, tickets are issued as digital copies
sent to the attendee’s specified email. 

The ticket acts as a receipt and an invoice will be sent
automatically by email to the buyer indicated in the process after
full payment. In any case the tickets remain our property and is a
personal revocable licence, which may be withdrawn, and admission to an event
may be refused at any time upon a refund of the amount paid by the Attendee for
the registration.

4. Tickets tiers & rights attached to the tickets

a. Tickets tiers

The website presents various ticket options, including
discounted tickets for specific groups such as developers, startups, or
students, which are subject to stringent eligibility criteria. It’s the
attendee’s responsibility to select the correct ticket type that matches their
status. Should an attendee buy a ticket outside their category, they forfeit
associated privileges, including event entry, without the right to a
refund. 

Misuse of promo codes may lead to cancellation, with the
Organizer reserving the right to retain 15% (including taxes) of the purchase
price as a handling fee. Attendees will receive notification via the provided
email address, and this action can be taken until two days prior to the event.

b. Name
transfers, refunds

‍Typically,
tickets are issued in the name of the attendee and are non-transferable.
Exceptions
may be made by the Organizer for specific individuals or certain types of
tickets. To clarify, ticket transfers or name changes are generally not
accepted, even if the original ticket holder is unable to attend the event.
This policy applies to all tickets, including complimentary ones provided to
media personnel, speakers, and those distributed to partners as part of
sponsorship agreements.

c. Access to conference rooms

Inside a specific Event, interventions will take
place within several rooms in the Venue, and locations of those conferences
will be fixed by the Organiser. It is specified that the Organiser does not
guarantee access to the conference rooms, as they have maximum capacities. Only
access to the Event is guaranteed; depending on the number of visitors, some
areas may be full at one point.

5. Ticket prices and payment of the order

Ticket rates are prominently showcased on the Event Website.
The pricing stated for an Event is accurate at the time of its publication. We
retain the right to modify ticket prices at our discretion, although such
alterations will not impact previously purchased tickets. Possession of a valid
ticket grants entry to the respective Event as an Attendee, excluding any
associated travel or accommodation expenses, for which we bear no
responsibility. Prices are displayed exclusive of taxes, with the Panama VAT
(ITBMS) rate of 7 % being applicable. To adhere to European and Spanish VAT
regulations pertaining to events, this VAT will be levied on ticket purchases
made through our platform, regardless of the buyer’s location or status.

The pricing structure may vary based on several factors,
including:

  • Ticket categories such as Standard,
    Business, Pro, Sponsor, student, etc.
  • Order date, particularly with regards
    to time-limited and quantity-limited discounts like Super Early Bird and
    Early Bird offers.
  • Attendee’s selection of participation
    days, whether for the entirety of the Event or specific segments thereof,
    should the Organizer opt to offer tickets valid for partial attendance.
  • Any promotional campaigns or
    partnerships with media, associations, or businesses enabling Attendees to
    avail themselves of exclusive discounts.

We are under no
obligation to provide discounts for any specific Event and retain the authority
to modify or retract a discount offer at our sole discretion. Prior to
finalizing their order, the Attendee must affirm acceptance by clicking the
«checkout» button. Subsequently, they will receive a summary of their
order, detailing the chosen category and the associated price, inclusive of any
discounts from promotional coupons. Should an error occur in the selection of
the category, the Attendee can rectify it by returning to the order page.

Once the Attendee
has confirmed their registration by clicking the «confirm
registration» tab after reviewing the order summary, the sales contract
will be definitively established, rendering the order irrevocable.
Consequently, upon confirmation, the Attendee commits to remitting the ticket
price using the designated payment method.

Payment for tickets is exclusively accepted through:

  • Major
    credit cards such as Visa, Eurocard, Mastercard, Cartes Bancaires, and
    American Express.
  • Bank transfer to the specified
    account indicated during the payment process.
  • Other alternative methods endorsed by
    the organizer.

Tickets are non-transferable, even in instances of loss or
theft. Failure to complete payment or non-receipt of payment via bank transfer
within ten (10) business days may result in the cancellation of the sale at any
time by the Organizer.

6. Organiser’s obligations

a. Tickets

The Organiser shall issue the entry ticket upon
validation of the order and of the payment. Once the order has been validated
and the payment recorded, an order confirmation will be sent to the Attendee by
email including the entry ticket in the body of the message or as an
attachment. Each ticket is nominative and therefore unique and permits the
Attendee to access the site of the Event on presentation of an official
identity document (ID Card, Passeport) containing the same information as on
his ticket. 

The Attendee can therefore access, subject to the
availability of places in the spaces concerned, all public sessions proposed by
the Organiser (outside of any private sessions organised by partners), visit
the exhibition during opening hours, and benefit from the catering services
proposed within the exhibition hall. For practical reasons, from the day of the
subscription and until the Event itself, the Attendee may receive by email
various information on the Event and, possibly, a reissue of his tickets.

b. Event
content

The organizer
shall organize the Event and conclude appropriate civil law service contracts
if required to carry out the Event. Also, it needs to ensure that
representatives of the Organiser are present at the Event.

We try to make
sure that the Event programs, speakers, topics and venues are correct at the
time of publishing, circumstances beyond our control may necessitate
substitutions, alterations, postponements, or cancellations to the content,
format, themes, name, performers, hosts, moderators, venue, or timing of an
Event.We will endeavour to notify you as soon as reasonably practicable of any
substitutions ,postponements, or changes by posting the updated information on
the Event Website.

The Event program published on the Website
is preliminary. Separate items of the Event may be changed to similar ones or
excluded by the Organiser on unilateral basis.

7. Admittance to the events

a. Id checks

The
Organiser grants entry to Attendees with a ticket. An ID card will also be
requested at each entrance, and a nominative business card may be also asked.
If the information does not match the registration information (first &
last names and any information related to a specific ticket category), the
Organiser reserves the right to refuse entry to the Attendee, without him being
able to claim any refund.

b. Wristbands and lanyards

For the sake of security and identification, it is mandatory
for all delegates to:

  • Wear
    the official Event lanyard containing their badge around their neck.
  • Sport the official Event wristband
    around their wrist.
  • Carry a form of photo identification
    and present it upon request at all times.

In the event of
misplacement or loss of any of these items during the course of the event,
delegates are required to visit the customer service help desk at the Event
venue to obtain replacements. The Organizer reserves the right to impose
administrative fees for such replacements at their discretion. Details
regarding the cost of replacing lost or damaged wristbands for an Event can be
found on the Event website’s FAQ section. The pricing for replacement
wristbands is accurate at the time of publication and may be subject to change.

c. Event App

Upon attending
the event, you have the option to register an account on the Event App,
rendering yourself discoverable and visible to other Event delegates within the
application.
Your participation in the event constitutes agreement to
abide by the website’s terms and conditions as well as our privacy policy.

In order to protect your privacy, we have opted not to
disclose extensive personal information within the app. Consequently, by
default, none of your contact details such as email or phone number will be
accessible to fellow attendees. If you wish to share such information, you must
activate the corresponding option within the app settings.

d. Attendee participation and behaviour

It is your responsibility to inform us of any special access
requirements you may have at the time of booking for the Event. Throughout the
duration of the Event, you are expected to maintain orderly conduct and refrain
from actions that may cause offense, annoyance, or inconvenience to fellow
Attendees.

Unless expressly part of a partner team and operating within
designated partner spaces (such as stands or rooms), Attendees are prohibited
from engaging in promotional, advertising, or business solicitation activities
in a manner deemed unacceptable at our sole discretion.

We reserve the right to expel any Attendee from the Venue
who, in our reasonable judgment, violates applicable laws or regulations, our
policies, or those of the Venue, or who exhibits behavior likely to cause
offense, annoyance, or is otherwise deemed inappropriate or non-compliant with
these terms.

At our sole discretion and without any liability or
obligation to refund, we reserve the right to deny entry to or remove from the
Event anyone who:

  • Displays
    behavior capable of disrupting, hindering, or causing nuisance to the
    Event or to the enjoyment of others.
  • Poses
    a security or health & safety risk to the Event, Attendees, or
    partners.
  • Fails
    to comply with, or is likely to fail to comply with, these Terms.

By attending our Events, you agree to adhere to all
applicable laws and regulations, as well as abide by the rules and security
instructions provided on-site during the event.

8. Cancellation

The Attendee is hereby notified that in the event of the
Event’s cancellation due to circumstances beyond the Organizer’s control, such
as a force majeure event, a cancellation directive from the Prefecture or any
other public authority, or the unavailability of the premises, refunds for
tickets will not be possible.

In the rare instance of an Event being postponed or canceled
for any other reason, our liability is strictly limited. We will only be liable
to refund the portion of fees paid that remain after deducting credit card and
payment processing fees. Additionally, we shall not be held responsible for any
expenses, damages, or losses incurred by the Attendee as a result of such
cancellation or postponement.

9. Attendees’
personal data

The Organizer
places great importance on protecting the privacy of Attendees by handling
their personal information with utmost care during the order processing and
ticket issuance processes. Rest assured, your personal details are kept secure
and are not disclosed to any third parties without your explicit consent. For
example, detailed attendee lists are not shared with sponsors, sold, or made
public.

However, we may
share partially anonymized data, such as company and job title, or fully
disclose your information to partners .upon your request, which could include:

  • Consenting
    to share your contact details via the event application.
  • Opting to participate in a partner’s
    event and agreeing to data sharing

processed in connection with the relevant Conference, as well as the reasons
behind such actions and your legal rights, please refer to our 

Attendees whose
personal data has been provided to the Organizer during the ordering process
are informed of their rights at the time of placing the order. They retain the
right to access their personal data, which they can exercise by contacting the

10. Photography, audio & video recording, image
rights

By participating
in the Event, you consent to the possibility of being photographed or recorded
by us or our affiliates. 

The Organizer,
along with its partners and authorized individuals, reserves the right to
capture images and audio-visual content of the Event and its attendees,
particularly on-site. These materials may be utilized at the Organizer’s
discretion, including for publication in print or online, without the need for
consent from or compensation to any attendees or their agents. 

The usage of personal recording devices during the
Conference is permitted solely with our prior written consent. Unauthorized
recordings may be subject to deletion and legal action for damages.

11. Intellectual property

During the Event, corporate sponsors and speakers will
showcase their innovations, displaying their trademarks and logos.
Presentations and speeches will also be featured on stage. Attendees are not
allowed to copy, emulate, or disseminate any trademarks, logos, speeches, or
presentations seen on stage without explicit written consent from the Organizer
or the respective rights holders of the trademarks, logos, and presented
materials.

12. Insurance

It is your duty to secure suitable insurance for your
participation or display at the Event. Our company and affiliates disclaim
responsibility for any harm or property damage that occurs, except in instances
of death or injury due to our negligence or other liabilities that the law
cannot limit. The Organizer has obtained professional indemnity insurance to
mitigate any event-related damages. Additionally, as an attendee, you must
adhere to all health and safety directives posted at the Event venue.

13. Limitation of liability

You acknowledge and agree that the views expressed by
speakers at or in connection with an Event organized by us are their own, and
we bear no responsibility or liability for any advice given or views expressed
during the Event.

Materials shared or distributed at or in connection with an
event are provided for informational purposes only and should not be relied
upon by you or others. We and our affiliated companies do not offer any
guarantees, conditions, or warranties regarding the completeness or accuracy of
the materials and do not accept any responsibility or liability for reliance by
you or any other person on any aspect of the Event and/or any information
provided at the Event.

To the maximum extent permitted by applicable law:

  • We
    and our related companies shall not be liable to you, whether in contract,
    tort (including negligence), misrepresentation, restitution, or otherwise,
    for any loss of profits; loss of agreements or contracts; loss of sales or
    business; loss of anticipated savings; loss of income; loss of
    opportunity; loss of or damage to goodwill; loss of use or corruption of
    software, data, or information; and/or similar losses or pure economic
    loss, or for any indirect or consequential loss, costs, damages, charges,
    or expenses arising under or in connection with the performance or
    contemplated performance of the Terms, even if we had been advised of the
    possibility of such losses in advance.
  • Subject
    to the above paragraph, our total aggregate liability in contract, tort
    (including negligence), misrepresentation, restitution, or otherwise,
    arising under or in connection with the performance or contemplated
    performance of the Terms is limited to the total amount paid by you to us
    for your ticket to attend the Event.
  • The
    Organizer shall not be held liable for the Customer’s nonattendance of the
    Event due to reasons beyond the Organizer’s control.
  • The
    Organizer shall not be responsible for any discrepancy between the Event
    and the Customer’s expectations or subjective judgment.
  • The Organizer shall not be liable for
    any personal property of the Attendee damaged or lost at the Event. In
    such cases, the owner of the lost property may choose to file a statement
    with law enforcement authorities at their own discretion.
  • The Organizer and the Customer agree
    to make every effort to resolve disputes through negotiation. If
    negotiations fail, disputes must be brought for settlement in a court
    located at the Organizer’s jurisdiction.
  • The Organization does not guarantee
    the authenticity of tickets purchased outside official selling points.
    Ticket resale is prohibited. The organization bears no responsibility for
    the loss or theft of tickets. The ticket holder assumes responsibility in
    the event of ticket duplication.
  • Nothing in these Terms seeks to
    exclude or limit liability for any fraudulent statement or act or for any
    liability that cannot be excluded or limited under applicable law.

14. Force
majeure

Neither the
Customer nor the Organizer are to be held accountable for not meeting their
commitments under this Agreement if hindered by a force majeure event, which
refers to any extraordinary and inescapable event beyond control. 

The circumstances
of force majeure, in particular, include: natural disasters, acts of war,
national crisis, strikes in the industry or region, the actions and decisions
of public authorities, failures arising from telecommunications and energy
networks, the effect of malware, as well as the unscrupulous actions of third
parties expressed in actions aimed at unauthorized access and/or disabling the
software and/or hardware system of each Party.

15. Language
and applicable law

The TCS are
governed by Panama Law.

Organising only
international events, the TCS are written in English only.
